Attending Board Members: Dale Copps, President; Heather Shanks, Secretary; Karen Woodward, Treasurer; Kerry Clifford; Jen Cary (ex-officio).

Absent Board Members: Ilene Beattie.

Call to Order: 4:10 p.m. Dale announced that this was the 15th Annual Meeting of the Friends of Windsor Library.
Acknowledgements Special Friends Bert Frothingham, Martha Connell, and Jen Cary were introduced and acknowledged, followed by the current board, paid library staff, volunteers, volunteer head Beryl Hinton, the trustees, auditor Pat Meader, and Carl Goulet and Jean Gross for the refreshments.
Treasurer's Report: Two reports were distributed, the 2004 Income and Expense Report (by quarters), and the Net Worth Report.
President's Remarks Dale noted highlights from 2004, including the obtaining of our 501(c)(3) status, the tripling of our membership, and the introduction of a new fundraiser, the Great American Holiday Shopping Tour and Sweepstakes. He then spoke about upcoming events for 2005, including the Book Nook and its success, the new fundraiser Art on a Limb, the Book Sale in July, and the 2nd Annual Shopping Tour and Sweepstakes. Dale mentioned the website and recommended its use. Finally, he suggested various things the Friends membership can do to support the Friends, including making tax-deductible donations, taking part in Friends activities and fundraisers, recruit new members, giving a little time to an event, and providing the board with the benefit of their ideas and feedback.
Open Discussion: Topics included the expansion and brickwork, Larry Nowlan's statue, the newsletter, whether to raise dues, and whether to hold the Annual Meeting at a time that would allow more people to attend.
Bylaw Revisions: Dale explained that the bylaws were revised for three reasons: 1) The IRS required certain language changes in order for us to qualify for 501(c)(3) status; 2) some changes were made to clarify the roles of the board and the general membership; and 3) some changes were made to simplify a document which had more complexity (including an "Executive Committee") than was required by a small organization. A motion to accept the revisions was made and seconded. It passed unanimously.
Election of Officers: Nominees: Heather Shanks, one year; Karen Woodward, three years; Pamela Bagley, three years. Helen Michalowitz declined nomination. A motion was made and seconded to accept the nominees. It passed unanimously. The board makeup for 2005-2006 is as follows:

  • Ilene Beattie, term expiring 2007
  • Dale Copps, term expiring 2007
  • Kerry Clifford, term expiring 2006

Presentation of the Bertha Frothingham Volunteer of the Year Award: Dale first read the names of the first 14 recipients of the award, then presented the 15 Annual Award to Grace Batesole. Grace was given a small plaque and some flowers, and Dale expressed the enormous gratitude the Friends felt for the time, care, and devotion she has given to the library.
